End User License Agreement

This End User License Agreement ("Agreement") is a binding legal contract between you (either an individual or a single legal entity, the "Licensee") and Kairos Consulting Collective, LLC ("Licensor") regarding the use of the Kairos Data Systems Databricks Medallion Scaffolding and associated Terraform modules ("Software").

1. LICENSE GRANT

Subject to the payment of the applicable one-time licensing fee, Licensor grants Licensee a limited, non-exclusive, non-transferable, and non-sublicensable right to use, modify, and deploy the Software. For the "Small Team" tier, this license covers collaborative use by engineers within a single purchasing organization.

2. RESTRICTIONS

Licensee shall not, and shall not permit any third party to:

  • Expose, upload, or commit the Software to any public version control system or public repository.
  • Redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer rights to the Software.
  • Repackage, white-label, or utilize the Software to build a competing foundational Infrastructure-as-Code product or template.
  • Remove or alter any copyright, trademark, or other proprietary rights notices contained in the Software.

3. OWNERSHIP AND INTELLECTUAL PROPERTY

The Software is licensed, not sold. Kairos Consulting Collective, LLC retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein.

4. NO WARRANTY

The Software is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. Kairos Consulting Collective, LLC makes no warranty that the software will be error-free or secure from intrusion.

5. LIMITATION OF LIABILITY

In no event shall Kairos Consulting Collective, LLC be liable for any claim, damages, or other liability, whether in an action of contract, tort or otherwise, arising from, out of, or in connection with the software, including any loss of data, cloud computing costs, or business interruption.

6. TERMINATION

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any provision. Upon termination, Licensee must immediately cease all use of the Software and destroy all copies in their possession or control.
